Welcome to Toolly. By accessing or using any website within the Toolly ecosystem — including toolly.site and all subdomains (pdf.toolly.site, image.toolly.site, calc.toolly.site, and others) — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Toolly ("we", "us", or "our"). Your use of the services is also subject to our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

Toolly provides a network of web-based utility tools across 14 specialized websites. Our services include but are not limited to:

We strive to provide reliable, fast, and privacy-respecting tools. However, we do not guarantee that our services will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue any tool or website at any time without prior notice.

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use our services. If you are under 18, you represent that you have obtained parental or guardian consent to use our services and agree to these Terms.

By using our services, you represent and warrant that:

• You have the legal capacity to enter into this agreement
• You are not prohibited from using our services under applicable laws
• You will comply with all applicable laws and regulations

4. Distribute malware, viruses, or harmful code through our tools
5. Use our services to process stolen, copyrighted, or illegally obtained content
6. Reverse engineer, decompile, or disassemble any part of our services
7. Remove, alter, or obscure any copyright, trademark, or proprietary notices
8. Use our services to harass, defame, or harm any person or entity
9. Resell, sublicense, or redistribute our tools without authorization
10. Interfere with or disrupt the proper functioning of our services

Violation of these terms may result in immediate suspension of access, IP blocking, and potential legal action.

All content, features, and functionality of the Toolly ecosystem — including but not limited to text, graphics, logos, icons, code, software, design, and user interface — are the exclusive property of Toolly and are protected by international copyright, trademark, and other intellectual property laws.

"Toolly" and all related names, logos, and marks are trademarks of Toolly. All other trademarks are the property of their respective owners.

The Toolly ecosystem offers both free and freemium tools:

Subscription billing is handled by Stripe. By purchasing a subscription, you authorize Stripe to charge your payment method on a recurring basis until you cancel. You can manage or cancel your subscription at any time through your account or by contacting us.

Since our tools process data client-side, we generally do not receive, store, or transmit your content. However, for tools that require server-side processing (clearly marked), the following applies:

• You retain full ownership of all content you process using our tools
• You are solely responsible for the content you process and its legality
• You grant us a temporary, limited license to process your content solely for providing the requested service
• We do not claim any ownership rights to your content
• We do not use your content to train AI models or for any purpose beyond providing the service
• Processed content is deleted from our servers immediately after processing is complete

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Toolly disclaims all warranties, whether express or implied, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of non-infringement, accuracy, or reliability
• Warranties that our services will meet your specific requirements
• Warranties that our services will be error-free or uninterrupted

You use our tools at your own risk. You are responsible for verifying the accuracy and quality of any output produced by our tools before relying on it for important decisions.

To the maximum extent permitted by applicable law, in no event shall Toolly, its officers, directors, employees, or partners be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business, or goodwill
• Damages resulting from the use or inability to use our services
• Damages resulting from delays, interruptions, or errors in our services
• Damages resulting from unauthorized access to or alteration of your data

Our total aggregate liability for any claim arising from or relating to these Terms or our services shall not exceed the amount you have paid us in the 12 months preceding the claim, or $50 USD, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Toolly, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of or inability to use our services
• Your violation of these Terms or any applicable law
• Your violation of any third-party rights, including intellectual property rights
• Any content or data you process using our tools
• Any fraudulent or misleading information you provide

We reserve the right to assume the exclusive defense of any claim for which we are entitled to indemnification. We will notify you of any such claim and you will cooperate with us in its defense.

You may stop using our services at any time. No formal termination process is required since most tools do not require account registration.

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, including if:

• You violate these Terms or any applicable law
• You engage in abusive, fraudulent, or harmful behavior
• Your actions could damage, disrupt, or impair our services
• We are required to do so by law or legal process

For paid subscribers, termination for cause (due to violation of Terms) is non-refundable. Termination without cause will result in a pro-rated refund of your current billing period.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For consumers in the European Union, you may also bring proceedings in the courts of the EU member state where you reside, and the mandatory consumer protection laws of that country will apply.

We may modify these Terms at any time. When we do, we will:

• Update the "Last updated" date at the top of this page
• Provide a summary of material changes on our website
• For significant changes affecting paid subscribers, provide at least 30 days' notice by email

Your continued use of our services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our services.
